COMMONWEALTH OF MASSACHUSETTS

"Be it known that whereas J. Tondorf, M. Hasenfuss, H. Holthaus, J. Malzacker, G. Kranefuss, H. Funke, F. Schwendemann J. Holthaus, F. Bleiler, C. Scholtes, H. Merten, J. Ohrenberger, F. Ehrhart, A. Lorenz, T. Klueber, C.V. Jaeger, H. Wessling, H. Dickmeier, C. Lüttman, L.M. Lehmann, J. Weber, N. Schaff, M. Müller, J. Spang, J. Bisch, A. May, J. Kraft and others have associated themselves with the intention of forming a corporation under the name of GERMANIA CO-OPERATIVE BANK for the purpose of accumulating the savings of its members paid into such corporation in fixed periodical installments, and the lending of such funds so accumulated to its members with a capital to be accumulated limited to $1,000,000.00, and have complied with the provisions of the Statutes of this Commonwealth in such case made and provided, as appears from the certificate of the President, Treasurer and Directors of said corporation, duly approved by the Commissioners of Corporations, and recorded in this office:

"Now, therefore, I, Henry B. Pierce, Secretary of the Commonwealth of Massachusetts, do hereby certify that said Tondorf. Hasenfuss, H & J Holthaus, Malzacker, Kranefuss, Funke, Schwendemann, Bleiler, Scholtes, Merten, Ohrenberger, Ehrhart, Lorenz, Klueber, Jaeger, Wessling, Dickmeier, Lüttman, Lehmann, Weber, Schaff, Müller, Spang, Bisch, May, Kraft and others, their associates and successors, are legally organized and established as and are hereby made an existing corporation under the name of GERMANIA CO-OPERATIVE BANK, with rights and privileges, and subject to the limitations, duties, and restrictions which by law appertain thereto.

"Witness my official signature hereunto subscribed, and the seal of the Commonwealth of Massachusetts hereunto affixed this third day of October in the year of our Lord 1885."
